Welcome to Dentplicity, an AI-powered business intelligence and marketing platform designed specifically for dental practices. These Terms of Service ("Terms") govern your access to and use of the Dentplicity platform, including our AI intelligence dashboard, DentGPT assistant, marketing tools, and all related services (collectively, the "Services") provided by Dentplicity Systems ("Dentplicity," "we," "us," or "our").
By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services. You must be at least 18 years old and authorized to enter into contracts to use our Services.
2. AI Services and Intelligence Platform
AI-Powered Services: Dentplicity provides AI-powered business intelligence tools including:
- DentGPT AI Assistant: A HIPAA-considerate AI chatbot for content creation, review responses, and marketing assistance
- Intelligence Dashboard: AI-driven market analysis, competitive intelligence, and revenue projections
- Automated Analysis: Practice assessment, demographic insights, and strategic recommendations
- Content Generation: AI-assisted marketing content, social media posts, and patient communications
AI Data Processing: Our platform integrates with third-party AI services (including OpenAI) to analyze your practice data and generate insights. By using our Services, you consent to this AI processing according to our Privacy Policy and applicable data processing agreements.
3. AI Content Limitations and User Responsibility
AI-Generated Content Disclaimer: All AI-generated content, including market analysis, revenue projections, competitive intelligence, and marketing recommendations, is provided for informational purposes only. AI-generated content:
- Should be reviewed and verified by qualified professionals before implementation
- May contain inaccuracies, errors, or outdated information
- Does not constitute professional business, financial, or marketing advice
- Must comply with all applicable healthcare advertising regulations
Professional Responsibility: You remain solely responsible for all content published, marketing campaigns implemented, and business decisions made using our Services. You must ensure all AI-generated content complies with professional standards, regulatory requirements, and licensing obligations.
4. Revenue Projections and Financial Disclaimers
⚠️ WARNING: Revenue projections are hypothetical estimates only. All financial projections, ROI calculations, patient acquisition estimates, and business outcome predictions provided by our AI systems are:
- Based on industry averages, market analysis, and algorithmic modeling
- Not guaranteed and may vary significantly from actual results
- Dependent on numerous factors beyond our control including market conditions, implementation quality, and practice-specific variables
- Provided for educational and strategic planning purposes only
No Financial Guarantees: Past performance does not predict future results. You should not rely solely on our projections for business planning without independent verification and professional consultation.
5. HIPAA-Considerate Practices and Healthcare Data
⚠️ Important HIPAA Disclaimer: Dentplicity Systems is NOT a HIPAA-covered entity or business associate. Our platform is designed for marketing and business intelligence purposes only. DO NOT enter any Protected Health Information (PHI) into our system.
Your HIPAA Responsibility: As a healthcare provider, you are solely responsible for:
- Ensuring NO patient names, medical records, or health information is entered into our platform
- Training your staff on appropriate use of our marketing tools
- Maintaining HIPAA compliance in your practice's marketing activities
- Using only aggregate, de-identified data when discussing practice metrics
HIPAA-Considerate Features: While not required by HIPAA, we implement security measures including:
- Industry-standard encryption for all data transmission and storage
- Access controls and authentication requirements
- Regular security audits and compliance reviews
- Warnings in our interface to prevent PHI entry
Marketing Compliance: All marketing content generated through our platform must comply with HIPAA's marketing restrictions. You may not use patient information for marketing without proper authorization.
6. Subscription Services and Billing
Service Offerings and Pricing: We offer various services with the following pricing structure:
- DentGPT Pro: $49/month for 2,500 AI queries (Free tier: 100 queries/month)
- Local SEO: $349/month (non-competitive markets) or $599/month (competitive markets)
- PPC Management: $350/month per platform plus ad spend
- Social Media Management: $800/month per platform
- Website Design: $3,500 one-time (optional maintenance: $100/month)
- Branding Package: $2,500 one-time
- Intelligence Reports: $500-$1,500 per report
- Dashboard Enhancements: $50 (Insights Unlock) or $250 (Competition Unlock) one-time
Billing Terms: All subscriptions are billed monthly in advance with no long-term contracts. We do not offer prorated refunds for partial months. One-time services are non-refundable after delivery. You authorize us to charge your selected payment method for all applicable fees.
Price Changes: We reserve the right to modify pricing with 30 days' notice. Your current pricing is locked in for active subscriptions until you cancel or change services.
Usage Limits: Services have defined usage limits (e.g., DentGPT query limits). Exceeding limits may result in automatic upgrades or service restrictions.
7. Intellectual Property and User Content
Platform Ownership: Dentplicity retains all rights, title, and interest in our platform, AI models, algorithms, and proprietary technology. You may not reverse engineer, copy, or create derivative works from our Services.
User Content License: You retain ownership of your practice information and content. By using our Services, you grant us a limited, non-exclusive license to process your data to provide our Services, including AI analysis and content generation.
AI-Generated Content: Content generated by our AI systems using your input data is provided to you for your use. However, you acknowledge that AI-generated content may not be eligible for copyright protection.
8. Prohibited Uses and Compliance
You agree not to use our Services to:
- Violate any applicable laws, regulations, or professional standards
- Create misleading, false, or deceptive marketing content
- Generate content that violates healthcare advertising regulations
- Reverse engineer or attempt to extract our AI models or algorithms
- Share account access with unauthorized users
- Use our Services for any illegal or unethical purposes
Professional Compliance: You must ensure all use of our Services complies with applicable dental board regulations, professional licensing requirements, and healthcare advertising standards in your jurisdiction.
9. Data Security and Privacy
Data Location: All user data is stored on servers located in the United States. By using our Services, you consent to the transfer and processing of your data in the United States.
Security Measures: We implement industry-standard security measures including encryption, access controls, and regular security audits. However, no system is completely secure, and you acknowledge the inherent risks of internet-based services.
Third-Party Analytics: We use analytics services including Google Analytics, Microsoft Clarity, and Kissmetrics to improve our Services. These services may collect usage data according to their own privacy policies.
Data Breach Response: In the event of a data security incident, we will notify affected users promptly and take appropriate remedial action in accordance with applicable laws and professional standards.
Privacy Policy: Our collection, use, and protection of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
10. Service Availability and Support
Service Availability: We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible.
Customer Support: Support is available via email at contact@dentplicity.com. Response times vary by subscription tier and issue complexity.
Service Modifications: We may modify, update, or discontinue features with reasonable notice. Material changes affecting core functionality will include at least 30 days' notice.
11. Termination and Data Retention
Termination Rights: Either party may terminate your subscription with appropriate notice period as specified in your subscription terms. We may immediately suspend access for violations of these Terms.
Data Retention: Upon termination, we will delete your data within 72 hours of your request unless legally required to retain it longer. Billing records may be retained for tax and accounting purposes.
Survival: Sections relating to intellectual property, disclaimers, limitation of liability, and dispute resolution survive termination.
12. Disclaimers and Limitation of Liability
Service Disclaimers: Our Services are provided "as is" without warranties of any kind. We specifically disclaim warranties regarding AI accuracy, revenue projections, or business outcomes.
Limitation of Liability: To the maximum extent permitted by law, our liability is limited to the amount paid for Services in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.
Professional Judgment: Our Services supplement but do not replace professional business judgment, marketing expertise, or regulatory compliance obligations.
13. Dispute Resolution and Governing Law
Governing Law: These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles.
Dispute Resolution: Any disputes will be resolved through binding arbitration administered by the American Arbitration Association in Wyoming, except for injunctive relief which may be sought in court.
Class Action Waiver: You agree to resolve disputes individually and waive rights to participate in class action lawsuits.
14. Updates to Terms
We may update these Terms periodically to reflect changes in our Services, applicable law, or business practices. Material changes will be communicated via email or through our platform with at least 30 days' notice.
Continued use of our Services after changes take effect constitutes acceptance of the updated Terms.
